Section 1: Service Agreement & Shipments
01. Acceptance of Terms By accessing and using the services provided by Wayfair Logistic, you agree to be bound by these terms. These terms govern all shipments, logistics operations, and digital tracking services provided through our platform. If you do not agree to these terms, please refrain from using our services.
02. User Responsibilities & Shipping Conduct Users are responsible for providing accurate shipping data, including weight, dimensions, and destination addresses. You agree not to ship prohibited items, hazardous materials (unless explicitly authorized), or illegal contraband. Any delays caused by inaccurate documentation are the sole responsibility of the sender.
03. Logistics & Delivery Estimates While we strive for precision, all delivery dates provided through our tracking system are estimates and not guarantees. Wayfair Logistic is not liable for delays caused by "Force Majeure" events, including but not limited to weather conditions, customs inspections, or global supply chain disruptions.
04. Prohibited Items and Restricted Cargo Users strictly agree not to use the services of Wayfair Logistic to transport illegal substances, hazardous chemicals, unlicensed firearms, or perishable goods without prior written cooling-chain agreements. We reserve the right to inspect any package and reject shipments that pose a safety risk.
05. Packaging and Labeling Standards It is the userβs responsibility to ensure that all items are packed securely for international transit. Wayfair Logistic is not liable for damages resulting from insufficient internal cushioning, fragile items shipped in standard containers, or illegible shipping labels provided by the user.
Section 2: Customs, Duties & Global Trade
06. Customs, Duties, and Taxes The sender is solely responsible for all customs duties, import taxes, and administrative fees levied by the destination country. Wayfair Logistic may advance these fees to expedite clearance, but the user must reimburse these costs in full before final delivery is released.
07. Verification of Power of Attorney For international trade, the user grants Wayfair Logistic a limited Power of Attorney to act as their agent for customs clearance. We are authorized to sign all necessary declarations and manifest documents on the userβs behalf to facilitate smooth transit.
08. Sanctions and Export Controls Users warrant that neither the sender, the recipient, nor the cargo itself are subject to international trade sanctions or embargos. Wayfair Logistic will immediately terminate any transaction found to be in violation of UN, EU, or US trade restrictions.
09. Right to Reroute In cases of port congestion, strikes, or closed borders, Wayfair Logistic reserves the right to reroute cargo through alternative geographical paths to ensure delivery. Any significant increase in freight costs due to emergency rerouting will be communicated to the user for approval.
10. Route Optimization and Shared Loads Unless "Exclusive Use" is specifically booked and paid for, Wayfair Logistic utilizes consolidated shipping (LCL/LTL). This means your cargo may be transported alongside goods from other clients to optimize fuel efficiency and reduce costs.
Section 3: Liability & Insurance
11. Limitation of Liability In no event shall Wayfair Logistic be liable for indirect, incidental, or consequential damages resulting from the loss of cargo or delayed delivery. Liability for lost or damaged goods is strictly limited to the declared value of the shipment as stated at the time of booking.
12. Insurance and Declared Value Standard shipping rates do not include full-value insurance. Users are encouraged to declare the accurate value of their cargo and purchase supplemental insurance through Wayfair Logistic. In the event of an undeclared value, our liability is capped at the minimum industry standard.
13. Claims Filing Deadlines All claims for visible damage must be noted on the Proof of Delivery (POD) at the time of receipt. Claims for concealed damage or loss must be submitted in writing to Wayfair Logistic within 7 business days of the delivery date.
14. Abandoned and Unclaimed Shipments Shipments that remain unclaimed at the destination warehouse for more than 30 days will be considered abandoned. Wayfair Logistic reserves the right to auction, dispose of, or return the goods at the sender's expense to recover costs.
15. Right of Lien on Cargo Wayfair Logistic shall have a general lien on any and all property within its care, custody, or control for all charges and expenses due from the customer for the current or any prior shipments. Goods will not be released until balances are cleared.
Section 4: Financial & Digital Terms
16. Fuel Surcharge Fluctuations Wayfair Logistic reserves the right to apply a dynamic fuel surcharge to all shipping rates. This surcharge is adjusted monthly based on global Brent Crude oil price indexes and will be reflected as a separate line item on the final invoice.
17. Payment Terms and Late Fees All logistics invoices must be settled within the timeframe specified on the billing document. Wayfair Logistic reserves the right to exercise a "Lien" over current shipments if the user has outstanding unpaid balances from previous operations.
18. Accuracy of Volumetric Weight Shipping costs are calculated based on the greater of actual weight or volumetric weight. Wayfair Logistic reserves the right to re-weigh and re-measure any cargo upon arrival at our hubs. Any discrepancies will result in an automatic price adjustment.
19. Electronic Documentation and Signatures By using our digital portal, you agree that electronic signatures, digital waybills, and "Proof of Delivery" (POD) captured via mobile devices carry the same legal weight as traditional paper documentation in all jurisdictions served by Wayfair Logistic.
20. Termination of Digital Access We reserve the right to suspend or terminate a user's access to the Wayfair Logistic tracking portal and API if we detect fraudulent activity, repeated late payments, or attempts to breach our server security.
Section 5: Operational Policies
21. Force Majeure and Acts of God We shall not be held liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, civil unrest, cyber-attacks, or nationwide labor strikes.
22. Warehouse Storage and Demurrage Shipments arriving at our distribution centers are entitled to 48 hours of free storage. Following this period, a daily demurrage fee will be applied. Wayfair Logistic will not release cargo until all accumulated storage fees are settled in full.
23. Subcontracting and Third-Party Carriers To ensure global reach, Wayfair Logistic may engage third-party air, sea, or land carriers. While we vet all partners, the specific "Terms of Carriage" of the performing carrier (e.g., Maersk, DHL, or local rail) also apply to your shipment.
24. Cancellations and Return-to-Sender Once a shipment has been "Manifested" or picked up, any cancellation request will incur a processing fee. If a shipment is refused by the recipient, all return freight charges and import duties become the sole responsibility of the original sender.
25. Weight and Balance Safety Limits For heavy machinery or oversized cargo, the user must provide a certified "Center of Gravity" diagram. Wayfair Logistic reserves the right to refuse any load that exceeds the safe structural limits of the assigned transport vehicle.
Section 6: Legal & Compliance
26. Data Privacy and GDPR Compliance By providing shipping data, you authorize Wayfair Logistic to share necessary personal information (names, addresses, phone numbers) with customs authorities and local delivery partners exclusively for the purpose of fulfilling the logistics contract.
27. Anti-Bribery and Corruption Wayfair Logistic operates under a zero-tolerance policy regarding bribery. Users and their agents are prohibited from offering any "facilitation payments" to customs officials or company employees to expedite shipping processes.
28. Intellectual Property & Data Usage All software, tracking algorithms, and brand assets on this platform are the property of Wayfair Logistic. Users may not scrape, reverse-engineer, or redistribute our tracking API data without written consent.
29. Governing Law and Jurisdiction Any legal disputes arising from these terms or our logistics operations shall be governed by the laws of the jurisdiction where Wayfair Logistic is headquartered. Users agree to attempt mediation before filing any formal legal action.
30. Modifications to Agreement Wayfair Logistic reserves the right to modify these terms at any time. Significant changes will be communicated via our website or email. Continued use of our services after such changes constitutes acceptance of the new terms.
Section 7: Specialized Cargo & Handling
31. Temperature-Controlled Logistics Users shipping perishables or pharmaceuticals must provide written "Thermal Tolerance" specifications. Wayfair Logistic is only liable for temperature deviations if "Active Cold Chain" service was explicitly booked and the malfunction was caused by gross negligence of our equipment.
32. Dangerous Goods (DG) Surcharges Shipments containing lithium batteries, aerosols, or chemicals attract mandatory safety handling fees. Wayfair Logistic reserves the right to offload any DG shipment if the packaging does not meet current IATA or IMDG maritime safety standards.
33. High-Value and Specie Cargo Shipments with a market value exceeding $50,000 USD (e.g., jewelry, electronics, fine art) must be declared 48 hours before pickup. Wayfair Logistic may require specialized armored transport or dedicated security escorts at the userβs expense.
34. Live Animals and Biologicals Wayfair Logistic does not accept live animals or sensitive biological cultures without a specialized "Life Science" contract. Any unauthorized shipment of such items will be turned over to veterinary or health authorities immediately.
35. Fragile and Non-Stackable Goods Items marked "Do Not Stack" or "Top Load Only" will incur a space-loss surcharge. If a user fails to use standard "Pallet Cones" or visible indicators, Wayfair Logistic is not liable for crushing damage caused by standard stacking practices.
Section 8: Environmental & Sustainability
36. Carbon Offset Contributions Wayfair Logistic offers an optional "Green Logistics" surcharge. These funds are directed toward verified carbon-sequestration projects to offset the emissions of your specific sea or air freight lane.
37. IMO 2020 and Low-Sulfur Compliance To comply with international maritime laws, a "Low-Sulfur Fuel" adjustment may be applied to ocean freight. This ensures all vessels used by Wayfair Logistic meet global environmental reduction targets for sulfur oxide emissions.
38. Disposal of Packaging Waste Wayfair Logistic is not responsible for the removal or recycling of wooden pallets, crates, or plastic wrap at the destination. The recipient is responsible for the eco-friendly disposal of all dunnage and shipping materials.
Section 9: Digital Security & API Usage
39. API Rate Limiting and Fair Use Users utilizing the Wayfair Logistic Tracking API agree to a maximum of 1,000 calls per hour. Excessive polling that degrades our server performance will result in an automatic temporary IP block.
40. Multi-Factor Authentication (MFA) To protect shipping data, all corporate accounts on Wayfair Logistic must enable MFA. We are not liable for unauthorized "Reroute" requests or data leaks resulting from compromised user passwords or phished credentials.
41. Cyber-Resilience Clause In the event of a global cyber-attack affecting port systems or our internal servers, Wayfair Logistic will revert to manual processing. We are not liable for "Digital Downtime" delays during such recovery periods.
Section 10: Claims & Dispute Resolution
42. Exclusion of Third-Party Beneficiaries These terms are strictly between the User and Wayfair Logistic. No third party (including the recipient's customers) shall have the right to enforce any part of this agreement or file claims directly against us.
43. Statute of Limitations for Legal Action Any legal proceedings against Wayfair Logistic must be initiated within one (1) year of the delivery date or the date the shipment should have been delivered. After this period, all rights to sue are waived.
44. Non-Disparagement during Disputes While a claim is being investigated, the user agrees to refrain from posting defamatory or unsubstantiated claims regarding Wayfair Logistic on public forums or social media, as this may prejudice the legal outcome.
45. Mandatory Mediation Before any lawsuit is filed, both parties agree to participate in at least 4 hours of professional mediation in the city of Wayfair Logistic's headquarters, with costs shared equally between both parties.
Section 11: General Provisions
46. Non-Solicitation of Personnel Users agree not to solicit, hire, or attempt to recruit any logistics coordinators or account managers from Wayfair Logistic during the term of this agreement and for 12 months following the last shipment.
47. Language of Contract If these terms are translated into another language, the English version shall remain the legally binding document in the event of any linguistic ambiguity or conflict.
48. Severability of Clauses If any specific clause (e.g., a specific limitation of liability) is found to be unenforceable by a local court, the remainder of the terms and conditions shall remain in full force and effect.
49. Survival After Termination Clauses regarding Liability, Indemnification, Intellectual Property, and Governing Law shall survive the termination of the user's account or the completion of any specific shipping project.
50. Entire Agreement This document, along with the specific "Rate Quote" and "Bill of Lading," constitutes the entire agreement. No verbal promises by Wayfair Logistic sales agents or drivers can override these written terms.
